Customer Agreement on the terms of Services provision in official online store of BC Zenit
Hereby you confirm that you have read, understood and fully agree to comply with this Agreement and Personal Data Processing Policy.

Hereby you confirm that while using the Company's Services you are the Company's Customer until you personally contact the Company's Customer Service to cancel any relations with the Company.

Terms and concepts used in this Agreement

Company – official online store of BC Zenit, a legal entity registered in accordance with the established procedure with a trade name BC Zenit LLC (Primary State Registration Number 1087847003793), LLC (limited liability company) legal status and legal address: 197110, Saint Petersburg, Futbolnaya alleya, 8, liter A, floor 2, room 303, which operates through Internet resource store.bc-zenit.com and supporting tools.

Site - resource in the Internet located at store.bc-zenit.com that is owned by the Company.
Goods – uniforms, memorabilia and souvenirs of BC Zenit, daily clothes, sports clothes, basketball balls, accessories and other original goods decorated with brand identity of BC Zenit available in the Company's catalog on the Site.
Personal Data – personal information (including last name, first name, patronymic, address, contact telephone number, e-mail address), which is voluntarily and consciously provided by the Customer when making an Order on the Site, and necessary for the Company's compliance with the Contract, under which the Customer is a beneficiary.

Contract – relations between the Company and the Customer for purchase of the Goods under the terms hereof arising from the moment of making and payment of the Order.
Customer – any individual or legal entity (representative of a legal entity), who voluntarily made an Order on the Site.

Order – Customer's request for purchase of the Goods from the Company's catalog issued through an electronic template on the Site by the Customer themselves and processed by the Company's Customer Service.

Services – complex of Company's activities in respect to the Customer with the purpose to comply with the terms of the Contract.
Agreement – this Customer Agreement that governs relations of the Company and the Customer for the entire duration of Services provision and Customer's access to personalized services of the Site.
Personal Data Processing Policy – regulations governing Company's obligations for Customer's personal data processing.

Customer Service – employees of the Company responsible for compliance with the Contract terms.

PART 1. About Company's relations with the Customer

1. General

1.1. The Company offers to you its Services and Site's tools under the terms specified herein.
1.2. Use of Site's tools and all relations between you and the Company related to use of the Site's tools shall be governed by this Agreement.
1.3. Using any of the Site's tools or using any of its functionalities, you express your unreserved consent to all terms of this Agreement and all other terms specified on the pages of the Site, undertake to comply therewith, and if you disagree with any of the terms, immediately stop using the tools and leave the Site.
1.4. You have been informed that this Agreement covers all currently existing Site's tools and any their development and/or addition of new tools.
1.5. You acknowledge and agree that nothing in the Agreement may be understood as establishment of agency, partnership (joint activity), personal recruitment relations or any other relations between you and the Company, which are not directly specified by this Agreement.
1.6. This Agreement shall be governed by the civil laws of the Russian Federation, including the Law of the Russian Federation "On Consumers' Rights Protection" dated February 07, 1992 No. 2300-1 and subordinate legislation.
1.7. You agree that all possible disputes regarding this Agreement and relations between you and the Company shall be resolved according to the norms of the Russian Federation legislation.
1.8. You agree that if the court recognizes any provision of the Agreement as invalid or unenforceable, this shall not make other provisions of the Agreement invalid or unenforceable.

1.9. Company's failure to act, whenever you violate the provisions of the Agreement, shall not deprive the Company of the right to take the relevant actions for protection of its interests later on, and shall not mean the Company's waiver of its rights, if such or similar violations are committed in the future.
1.10. The Company shall reserve the right to amend this Agreement without any special notice. The new revision of the Agreement shall take effect after its publication at http://store.bc-zenit.com/klient_soglashenie, unless otherwise specified by the new revision of the Agreement. The existing revision of the Agreement is always available on this page at http://store.bc-zenit.com/klient_soglashenie.

1.11. By making an order, you confirm your consent to the provisions of this Agreement, the link to the Customer Agreement is always available when making an order.

1.12. The Company shall not purposefully collect data from minors, including Personal Data of the latter, for use and/or orientation of the Site content at minors. Responsibility for actions of the minors, including purchase of the Goods by them from the Company's catalog on the Site, shall be borne by the legal representatives of the minors.

1.13. Site's tools may contain links to other resources. You acknowledge and agree that the Company bears no responsibility for availability of such resources and their content, and for any consequences related to your use of the content of such resources.

1.14. You also agree that the Company bears no responsibility for your personal data that you provide to external resources and/or other third parties, if attended from the Company's Site.

1.15. You confirm that the Company is not responsible for potential loss and/or corruption of data that may take place because of your violation of the provisions hereof.

2. Description of the Company's Services

2.1. The Company sells the Goods through web-resource store.bc-zenit.com and supporting tools.
2.2.2. If the Goods are delivered by the delivery service, the title to the Goods shall be transferred from the Company to the Customer at the moment of Goods transfer to the delivery service.

3. Customer's obligations when making an Order

3.1. To purchase the Goods from the Company's catalog on the Site, you agree to provide true and complete information on the questions offered when making an Order and necessary to comply with the obligations of the Company in respect to the Goods purchased by you. You shall also maintain relevance of such information.
4.2. If you provided wrong information, or the Company has compelling reasons to believe that the information provided by you is incomplete and/or false, the Company shall be entitled to deny provision of the Services to you.

4. Customer's obligations when using Site's tools

4.1. You agree not to use the Site's tools with the following purpose:
4.1.1. infringement of minors' rights and/or infliction of the harm to them in any form;

4.1.2. adoption of a false identity or a representative of an organization and/or a company without adequate rights, including the identity of Company's employees;
4.1.3. collection and processing of personal data, information on private life of any persons;
4.1.4. disturbance of normal operation of the Company's Site;
4.1.5. failure to comply with the Russian or international legal norms.
4.2. You agree not to use violent language, obscene and offensive images, comparisons and expressions on Site's tools, including in respect to the gender, race, nationality, profession, social category, age, language of a person and a citizen, and also in respect to organizations, authorities, official national symbols (flags, coats of arms, anthems), religious symbols, cultural heritage sites (historical and cultural landmarks).

5. Information support of the Customer

5.1. Hereby you grant your voluntary consent to your notification about all actions of the Company related to provision of the Services, including on the status of Order fulfillment.
5.2. Hereby you grant your voluntary consent to your notification by sending a notice through your e-mail provided at the moment of making an Order, and/or SMS-notices to your mobile phone number.
5.3. You agree that the Company bears no responsibility for delays, failures, incorrect or untimely delivery, deletion or damage of any notices. Besides, the Company shall reserve the right to resend any notice to you, if you did not receive it.
5.4. You can ask any questions on information support to the Company's Customer Service at store@bc-zenit.com.

6. Company's title

6.1. You acknowledge and agree that all Site's tools and all software related thereto contain confidential information owned by the Company that is protected by the laws of the Russian Federation and the international laws.

6.2. You agree that the content provided to you in process of using the Site's tools is owned by the Company, is protected by the copyright and the relevant laws that exist in the territory of the Russian Federation.
6.3. The Company provides to you the non-transferable right to use the Site's tools with the purpose of purchasing the Goods, provided that neither you, nor any parties with your assistance will not reproduce, copy or process (modify) them, and also will not use any their parts for any personal or commercial purposes.

PART 2. About Goods sale

1. General

1.1. To make a purchase from the Company's catalog on the Site, you have to provide the relevant and adequate data and other information required to the Company for fulfillment of its obligations of Goods sale and delivery to you.
1.2. You agree that whenever any data provided by you and necessary for the Company to properly fulfill its obligations of Goods sale and delivery is modified, you shall immediately notify the Company, having sent the corresponding letter to the Company's Customer Service at store@bc-zenit.com.

1.3. You agree that in case of failure to fulfill and/or improper fulfillment of the Company's obligations of Goods sale and/or delivery to you in connection with your provision of false and/or invalid data about yourself, as well as your failure to comply with the terms hereof, the Company shall bear no responsibility.

1.4. You acknowledge that the description of the Goods on the Site shall not pretend to exhaustive information value and may contain omissions. You shall be entitled to send all comments on inaccurate description of the Goods to the Company's Customer Service at store@bc-zenit.com.
1.5. You acknowledge that the Company exerts sufficient efforts that the appearance, packaging and characteristics of the Goods comply with the descriptions given in the Company's catalog on the Site. Simultaneously the Company notifies to you that the actual appearance, packaging and characteristics of the Goods may differ from such descriptions in case of the assortment goods, and in case of making changes to the Goods directly by the manufacturer.
1.6. The Goods represented in the Company's catalog on the Site have all the necessary certificates and fully comply with the requirements of the laws of the Russian Federation, which you may review, having contacted the Company's Customer Service at store@bc-zenit.com.
1.7. You have been notified that the price and availability of the Goods in the Company are amended on the Site 24/7 without a prior notice and are specified in the individual status and detailed card of the Goods displayed in the Company's catalog on the Site.

1.8. You have been notified that the Goods and their necessary quantity are reserved for you only after processing of your order by the Company's Customer Service.

1.9. The Company accepts payment only by non-cash transfer by Internet payment.
1.10. You can send all questions related to purchase of the Goods from the Company's catalog on the Site to the Company's Customer Service at store@bc-zenit.com.

2. Terms of Goods purchase by individuals

2.1. You may purchase the Goods in the Company, having paid for it by the following methods: by non-cash settlement.

2.2. Transfer of title to the Goods:
2.2.1. If the Goods are to be transferred to the Customer in the self-pickup point of the Company, the title to the Goods shall be transferred from the Company to the Customer at the moment of such Goods transfer to the Customer; If the Goods are delivered by the delivery service, the title to the Goods shall be transferred from the Company to the Customer at the moment of Goods transfer to the delivery service.

Payment of the Goods by non-cash settlement

The Company accepts only Internet payments for the Goods with the following credit cards: VISA, MASTERCARD and MIR, and shall transfer the funds through Tinkoff Bank JSC.
The Company would like to inform you that the security of Internet payments processing is guaranteed by 3D Secure.


2.3. Hereby you agree that the Order will only be confirmed after confirmation of funds debit against payment of the Order.

2.4. You confirm that payment of the Order through Internet payment shall be made at the moment of checkout on the Site. You agree that in case of non-payment of the Order it will be canceled.



2.5. After making and payment of the Order you will receive a confirmation of the conclusion of the Contract under the terms of this Agreement, containing the number, description, date, time and amount of the Order.


2.6. A consignment note will be provided to you upon payment of the Goods. A sales receipt shall be provided at your request when contacting the Company's Customer Service at store@bc-zenit.com.

2.7. Hereby you agree that in accordance with sub-clause 1, clause 3, article 169 of the Tax Code of the Russian Federation, no invoices are issued.
2.8. Hereby you confirm your consent to all terms of Goods payment specified in the section of Delivery and Payment.

3. Terms of Goods purchase by legal entities

3.1. Goods shall be purchased by legal entities through execution of a separate contract.
3.2. Hereby you are informed that to pay for the Goods from your settlement account, you have to perform the following actions:

- Provide details and scanned copies of Taxpayer ID and Primary State Registration Number by e-mail store@bc-zenit.com

- Sign the contract and provide the scanned copy of the last page of the contract with the seal and signature by e-mail to store@bc-zenit.com

- Make the payment within ten (10) calendar days from the moment of invoice issue by the Company;

- Provide the power of attorney for the representative with the right to obtain the Goods and the right to sign on consignment (shipping) notes.

3.3. When paying for the Goods from the settlement account, you agree that:

- The Goods payment date shall be the date of funds credit to the Company's settlement account;

- Shipment and delivery of the Goods shall be done only after funds credit to the Company's settlement account in accordance with the delivery method selected by you.

- After receipt of the order – send the original contact signed by you and the signed copies of the shipping documents (consignment note TORG12 and invoice) to the following address:

3.4. You can ask any questions on relations with legal entities to the Company's Customer Service by emailing at store@bc-zenit.com.

PART 3. About Goods delivery

1. General

1.1. The Company delivers the Goods by the following methods: with the help of Dalli Service delivery service.
1.2. You agree that whenever it is not possible to transfer the Goods to you through your fault, including your failure to comply with the time of Goods pickup, it shall be treated by the Company as your refusal to pick up the Goods. Besides, the Goods shall be returned to the Company, and the Order shall be deemed canceled.
1.3. If you refuse from the Goods, the prepayment for the Goods transferred to the Company, apart from the Company's expenses for delivery of the Goods, will be refunded to you not later than in ten (10) calendar days from the date of your relevant request specifying the method of funds return to the Company's Customer Service at store@bc-zenit.com.

1.4. All information about the terms and conditions of the Goods delivery is specified in section Delivery and Payment.
1.5. You can send all questions related to the terms and conditions of the Goods delivery to the Company's Customer Service at store@bc-zenit.com.

2. Terms and conditions of the Goods delivery

2.1. The Company shall deliver the Goods with the help of Dalli Service delivery service.

Approximate timing of delivery by the specified mailing service is specified in section Delivery and Payment.
2.2. You agree that the Company shall not be responsible for compliance with the time of Goods delivery by Dalli Service delivery service. However, the Company shall support in every way possible proper performance of all delivery timing obligations undertaken by Dalli Service delivery service.
2.3. Hereby you have been informed that the cost of Goods delivery by Dalli Service delivery service shall be calculated with account of your location and rates of Dalli Service delivery service. You can review the current rates in Delivery and Payment section.
2.4. You have been informed that according to the rules of Dalli Service delivery service, the Order that was not received by you through your fault shall be sent to the warehouse of SDEK delivery service for storage and may be delivered again by approval with the Company within one (1) calendar month.

2.5. If you do not receive the Order within the time specified, you have to contact the Company's Customer Service accordingly by emailing at store@bc-zenit.com.


PART 4. About return and exchange of the Goods

1. General

1.1. The Goods shall be returned or exchanged only in the Company's self-pickup point in accordance with the procedure and time specified in this section of the Agreement. The Company's self-pickup point is located at the following address: 197110, Saint Petersburg, Futbolnaya alleya, 8, liter A, floor 2, working hours: from 10 am to 6 pm.
1.2. To return or exchange the Goods, you have to send the corresponding message to the Company's Customer Service at store@bc-zenit.com.The application shall be reviewed by the Company within seven (7) calendar days from the moment of its receipt.
1.3. You agree that in case of partial refusal from the Goods, when they are a part of the set, the Goods may be returned or exchanged only as a full set.
1.4. You agree that the difference of actual design elements, including, but not limited to, color, shape or artwork of the Goods, from the ones stated in the description on the Site, shall not influence their quality and shall not be the violation of the Contract terms. Besides, you shall not be entitled to reject the Goods of proper quality with individually defined properties, if such Goods may be used exclusively by you, and you shall not be entitled to reject the Goods of proper quality with thermographic printing (thermographic application) made at your Order.
1.5. You have been informed and agree that the Company shall not consider or accept claims related to the Goods that look like they have been used, including, but not limited to, having damages to appearance (missing branded tags and packaging, cuts and holes, certain missing elements), when damages specified in this clause are identified after transfer of the Goods to you.
1.6. You can ask any questions on return or exchange of the Goods to the Company's Customer Service at store@bc-zenit.com.

2. Return or exchange of Goods with proper quality

2.1. You may return the Goods of proper quality within seven (7) calendar days, not including the day of Goods transfer to you, or exchange the Goods of proper quality within fourteen (14) calendar days, not including the day of Goods purchase, if their marketable appearance, consumer properties and documents that confirm the fact and conditions of such Goods purchase on the Company's Site have been maintained. Besides, you shall deliver the Goods to the Company's self-pickup point independently at your expense.
2.2. Return of the funds for the Goods of proper quality, apart from the Company's expense for delivery of the Goods, shall be made not later than in ten (10) calendar days from the date of your application to the Company's Customer Service at store@bc-zenit.com.

2.3. You may exchange the Goods of proper quality for similar ones. If no similar Goods are available, the funds paid for the Goods of proper quality shall be returned not later than in three (3) calendar days from the date of return of Goods.

3. Return or exchange of the Goods of substandard quality

3.1. You shall be entitled to return or exchange the Goods of substandard quality for the similar ones not later than in twenty (20) calendar days from the day of your receipt of the Goods. Besides, the Goods delivery to the Company's self-pickup point shall be carried out by the Company at its expense with your assistance. The Goods may be returned or exchanged with the help of Russian Post services or Dalli Service delivery service.

3.2. Return of the funds for the Goods of substandard quality shall be made not later than in ten (10) calendar days from the date of your application to the Company's Customer Service at store@bc-zenit.com.
3.3. You may exchange the Goods of substandard quality for similar ones. If no similar Goods are available, the funds paid for the Goods of substandard quality shall be returned not later than in ten (10) calendar days from the date of your application to the Company's Customer Service at store@bc-zenit.com.


PART 5. On confirmation of the Agreement

1.1. You shall be entitled to refuse from confirmation of this Agreement, if any term thereof is unacceptable for you.
1.2. You confirm that your acceptance of the Agreement (placement of an order) means your full consent to all of its terms without exception, and to all of the terms of section Delivery and Payment.
